[prompt..] — Terms & Conditions of Access and Use

Platform Use, Confidentiality, Acceptable Use and AI Responsibility Agreement

Version: 1.0
Effective date: 11th October 2026
Platform owner and operator: Globalion Technology Solutions Pvt. Ltd. ("Globalion", "we", "us", or "our")

Please read these Terms & Conditions carefully. You must accept the current version after each login before accessing [prompt..].

If you do not agree, select "Decline & Sign Out."

1. Scope and application

[prompt..] is a proprietary Business Operating System that provides connected business applications, workflows, collaboration, reporting, automation, and AI-assisted capabilities.

These Terms apply to every individual authorised to access the platform, including:

  • Customers and representatives of customer organisations.
  • Employees, contractors, consultants, and business partners.
  • Organisation owners, administrators, and other assigned users.
  • Trial, demonstration, evaluation, and beta users.
  • Globalion personnel and other expressly authorised individuals.

These Terms cover the platform's applications, CHAT interface, AI Agents, integrations, documents, reports, and related functionality made available to you.

"Organisation" means the business or other entity under whose account or workspace you access the platform. "Organisation Administrator" means a person authorised to manage that Organisation's users, settings, or permissions.

2. Acceptance after every login

You must expressly acknowledge and accept the current Terms once after each successful login and before proceeding into the platform.

Acceptance is required for each new login session, even where the Terms have not changed. Your confidentiality, security, and other continuing obligations remain effective between sessions.

We may maintain an acceptance record containing your user identity, Organisation, session identifier, Terms version, and acceptance date and time.

Selecting "Accept & Continue" confirms your agreement to these Terms. Selecting "Decline & Sign Out" ends access for that session.

Repeated acceptance of unchanged Terms reaffirms your existing obligations. It does not create additional subscription charges or independently renew your Organisation's commercial agreement.

3. Eligibility and authority

You must be legally capable of accepting these Terms and expressly authorised to access the relevant Organisation's environment.

Provide accurate account information and do not misrepresent your identity, affiliation, role, or authority.

You may act for your Organisation only within the authority it has granted you. An ordinary user's acceptance does not, by itself, authorise that user to purchase subscriptions, amend commercial agreements, or bind the Organisation to unrelated commitments.

If your authorisation ends, you must stop accessing the platform and inform the relevant Organisation Administrator.

4. Relationship with other agreements

These Terms govern individual access and platform use.

A separately agreed subscription agreement, order form, service-level agreement, data processing agreement, or other applicable contract may govern your Organisation's commercial relationship with Globalion.

Where a conflict arises, an expressly agreed contractual order of precedence will apply. In its absence, a specifically negotiated provision governing the relevant subject takes precedence over a general provision in these Terms.

Your Organisation may impose additional internal rules. Those rules cannot authorise unlawful conduct, infringement of another party's rights, or circumvention of platform safeguards.

Mandatory legal requirements prevail over inconsistent contractual provisions.

5. Permitted use and access rights

Subject to applicable agreements and permissions, you may use [prompt..] for your Organisation's authorised business activities or an expressly approved trial, demonstration, or evaluation.

Your access is limited by the applicable subscription, enabled features, user entitlements, role-based permissions, and administrative settings.

You must not:

  • Access another Organisation's environment without authorisation.
  • Impersonate another user or use another person's credentials.
  • Bypass permissions, approval requirements, subscription restrictions, or security controls.
  • Grant access or delegate authority beyond your assigned powers.
  • Use a trial or demonstration account outside its approved scope.

Technical access does not establish business authorisation. If an error exposes information or actions outside your permitted scope, stop accessing them and report the issue.

6. Account and credential security

Your account is personal to you unless an approved service-account arrangement expressly provides otherwise.

Protect passwords, authentication codes, recovery information, session tokens, API keys, and other access credentials. Do not share them or permit unauthorised persons to operate through your account.

Follow applicable authentication and device-security requirements. Lock unattended devices and sign out when using shared devices.

Do not approve authentication requests you did not initiate or enter credentials into unverified websites.

Report suspected compromise, lost devices containing platform information, and unusual account activity promptly.

Account activity may be reviewed during an investigation. Recorded activity does not automatically establish personal responsibility where compromise or another explanation is identified.

7. Confidentiality and restricted disclosure

You must protect non-public information belonging to Globalion, your Organisation, other users, customers, suppliers, and other parties.

Confidential information includes, where non-public:

  • Platform screenshots, recordings, demonstrations, and unpublished interface designs.
  • Features, workflows, configurations, and product plans.
  • Source code, architecture, APIs, technical documentation, and security controls.
  • CHAT conversations, prompts, responses, and AI Agent instructions.
  • Business records, reports, financial information, and personal information.
  • Test findings, defects, vulnerabilities, and internal communications.
  • Commercial terms and information disclosed under a confidentiality obligation.

Information does not become available for unrestricted disclosure merely because you can view it or because it is not marked "confidential."

You must not publish, circulate, upload, demonstrate, or disclose Globalion's non-public platform information externally without prior written approval from an authorised Globalion representative.

You must also obtain the relevant information owner's authorisation before disclosing confidential Organisation or third-party information.

This restriction applies to social media, public forums, personal email, external messaging groups, public repositories, personal storage, external AI tools, and unapproved applications.

Authorised sharing of your Organisation's own business records remains permitted within your assigned authority and applicable agreements. Such sharing must not expose another Organisation's information or Globalion's confidential technical or security information.

Publicly released product information may be discussed accurately. These restrictions do not prohibit lawful reviews, disclosures required by law, reports to competent authorities, or legally protected complaints.

Where lawful and appropriate, notify the relevant information owner before a legally required disclosure and disclose only what is necessary.

8. Screenshots, recordings, demonstrations, and exports

Screenshots, recordings, downloads, and exports may be created only for authorised purposes and handled according to the information they contain.

For issue reporting, remove or mask unrelated personal information, credentials, authentication tokens, and sensitive records.

Do not publish platform screenshots, recordings, or demonstrations containing non-public Globalion information without written approval.

Do not create public links, externally accessible recordings, or demonstrations that expose confidential records or provide unauthorised platform access.

Store exports in approved locations and share them only with authorised recipients.

9. Organisation data and ownership

As between Globalion and your Organisation, your Organisation retains its rights in the business records, files, and other content it or its authorised users submit, subject to third-party rights.

Uploading information does not transfer ownership of that information to Globalion.

Your Organisation authorises the processing of its information to provide and support the agreed services, subject to applicable contracts, the Privacy Notice, and any relevant data processing agreement.

You must have the necessary authority and lawful basis to submit and use information belonging to employees, customers, suppliers, or other parties.

Globalion's ownership of the platform does not give it unrestricted rights to use customer information for unrelated purposes.

10. Personal information and privacy

Access and process personal information only where necessary for your authorised responsibilities.

Do not collect, search, upload, export, or disclose personal information for unrelated purposes. Follow applicable privacy requirements, confidentiality commitments, and Organisation instructions.

Do not place passwords, private keys, authentication tokens, or unnecessary sensitive information into CHAT, documents, or support tickets.

The Privacy Notice must explain relevant information collection, purposes, recipients, retention practices, and privacy contact channels. Applicable organisational processing arrangements may be addressed separately in a data processing agreement.

Acceptance of these Terms is not blanket consent to unrestricted personal-data processing, marketing, model training, or unrelated monitoring.

Where separate consent is required for a particular activity, it must be obtained separately. These Terms do not remove rights available under applicable privacy law.

11. CHAT, AI Agents, and automated activities

CHAT and AI Agents may assist with information retrieval, content creation, analysis, and supported business activities.

AI-generated outputs may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose. Similar outputs may be produced for different users.

You must review important outputs and verify material facts, calculations, recipients, records, and proposed actions before relying on them.

AI assistance does not grant authority, replace required approvals, or justify bypassing controls.

Do not instruct CHAT or an AI Agent to:

  • Reveal restricted information or another Organisation's data.
  • Ignore permissions or approval requirements.
  • Impersonate another person.
  • Conceal activity or disable safeguards.
  • Perform unlawful or unauthorised actions.

Material financial, employment, legal, compliance, and customer decisions must receive the review required by your Organisation and applicable law.

Automated workflows must be configured and enabled only by authorised persons. Review their scope, triggers, permissions, and potential effects before activation.

AI-generated content is not guaranteed to be exclusive, eligible for intellectual-property protection, or free from third-party rights. Its use remains subject to applicable agreements and law.

12. Accurate records and responsible transactions

Enter accurate information to the best of your knowledge and correct errors through approved procedures.

Do not fabricate records, submit false claims, manipulate reports, improperly backdate transactions, or conceal mistakes.

Approvals must represent genuine review by an authorised person. Do not divide transactions to avoid approval limits or approve your own transaction where independent approval is required.

Before repeating an action after an error or timeout, check whether it already completed.

Do not delete or alter information to conceal misconduct, defeat an investigation, or evade lawful retention requirements.

13. Beta, trial, and evaluation features

Where your account, environment, or a feature is identified as beta, trial, preview, or experimental, it is provided for the communicated evaluation or testing purpose.

Such functionality may be incomplete, inaccurate, unavailable, or subject to change. Beta access does not establish a production service-level commitment unless expressly agreed.

Do not conduct destructive testing on live records or initiate actual payments, messages, access changes, or other external actions merely to test a feature without authorisation.

Verify important outcomes. A success message or AI response does not necessarily establish that an activity completed correctly.

Stop the affected activity and seek assistance where an error could affect important records or operations.

14. Prohibited activities

You must not use the platform to:

  • Commit fraud or engage in unlawful, abusive, discriminatory, or harassing conduct.
  • Introduce malware or compromise systems or information.
  • Exploit vulnerabilities or conduct unapproved security or load testing.
  • Scrape, extract, or intercept information beyond your authorised scope.
  • Deliberately disrupt service or evade usage restrictions.
  • Connect unapproved systems or disclose information to unauthorised destinations.
  • Infringe intellectual-property, confidentiality, or privacy rights.
  • Copy or misuse Globalion's proprietary materials to reproduce its platform.
  • Misrepresent Globalion's endorsement, capabilities, or commercial commitments.

These restrictions do not prohibit your Organisation's authorised development of its own applications, workflows, or other materials using functionality licensed for that purpose.

15. Integrations and third-party services

Some functionality may depend on external hosting, AI providers, communication services, payment services, or other integrations.

Connecting an integration must be authorised by your Organisation. Review its permissions, information access, terms, and privacy implications before enabling it.

Third-party services may have separate charges, terms, availability, and limitations.

Do not send information through an integration unless the transfer is authorised and consistent with applicable agreements.

Responsibility for third-party services is governed by the relevant contracts. Their involvement does not remove obligations that Globalion or your Organisation has under applicable law.

16. Logs, audit records, and administrative visibility

The platform may record access events, business actions, approvals, permission changes, CHAT interactions, AI Agent activity, errors, and relevant operational information.

Depending on their permissions and applicable policies, Organisation Administrators and authorised Globalion personnel may access relevant records for administration, support, security, audit, and investigation.

Collection, access, and retention must be proportionate to legitimate purposes and consistent with applicable contracts, the Privacy Notice, and law.

Do not disable, falsify, conceal, or improperly remove audit records.

Do not assume that information entered into an Organisation's workspace is inaccessible to its authorised administrators.

17. Issue reporting and security incidents

Report defects, incorrect outputs, confusing workflows, and improvement suggestions through the platform's designated support or ticketing channel.

Include the relevant application, expected outcome, actual outcome, approximate time, and appropriately redacted evidence.

For suspected information leakage, unauthorised access, credential compromise, or unintended financial activity:

  • Stop the affected activity.
  • Notify your Organisation Administrator and Globalion support promptly.
  • Preserve relevant evidence securely.
  • Do not investigate beyond your authorisation or publicly disclose sensitive findings.

If ticketing is unavailable, use the published support contact.

Globalion employees and internal beta users must direct their tickets to Vikas Kasture, as instructed internally.

Good-faith reporting of mistakes, defects, and security concerns is encouraged.

18. Platform intellectual property and feedback

Rights in [prompt..], its branding, software, platform designs, documentation, and proprietary technology remain with Globalion or the relevant rights holders.

Access grants permission to use the agreed functionality; it does not transfer ownership of the platform.

Do not distribute, sublicense, reverse engineer, or extract proprietary platform materials outside your licensed rights, except where applicable law does not permit such a restriction.

Subject to applicable agreements, Globalion may use voluntarily submitted product feedback to improve the platform. Feedback does not grant unrestricted rights over your Organisation's confidential records or transfer ownership of unrelated pre-existing intellectual property.

19. Subscriptions, availability, and service limitations

Features, user limits, storage, usage allowances, support, and service commitments depend on the applicable plan or agreement.

Pricing, taxes, billing, renewals, cancellation, and refunds must be governed by the terms disclosed and agreed for the relevant subscription. Merely accepting this login page does not authorise an undisclosed purchase or charge.

Availability may be affected by maintenance, incidents, connectivity, or third-party dependencies. Contractually agreed service commitments remain applicable.

Unless expressly agreed, Globalion does not guarantee that every feature will be uninterrupted, error-free, or suitable for every intended purpose.

These Terms do not remove agreed security, support, data-protection, or service obligations.

20. Suspension, termination, and consequences of misuse

Globalion may restrict access where reasonably necessary to address suspected misuse, protect information, respond to security threats, comply with law, or enforce applicable agreements.

Organisation Administrators may manage users within their authorised powers.

Where practicable and consistent with security and legal requirements, the affected Organisation or user will be informed of the reason and available corrective steps.

Unauthorised disclosure, credential sharing, deliberate control bypassing, or misuse of confidential information may result in access suspension or termination and other remedies available under applicable agreements and law.

Employment disciplinary action applies only where the user's employer has the relevant authority and follows applicable procedures. Globalion does not acquire employment authority over a customer's personnel through these Terms.

Good-faith reporting of an accidental error does not, by itself, establish misconduct.

21. Data handling when access ends

When access ends, you must stop using the account and return or remove unauthorised copies of confidential information, subject to lawful preservation requirements.

Organisation data export, retention, and deletion are governed by applicable agreements, the Privacy Notice, and law. Loss of individual access does not automatically mean deletion of Organisation records.

Confidentiality obligations continue for as long as the relevant information remains confidential or otherwise protected.

Do not delete business records that your Organisation or another responsible party is required to retain.

Each party remains responsible for its own obligations under applicable agreements and law.

Any agreed allocation of liability, limitation, indemnity, or remedy is governed by the applicable contract. These Terms do not introduce an unlimited personal indemnity or automatic financial penalty against an individual user.

Nothing excludes liability or rights that cannot lawfully be excluded, including applicable statutory privacy, consumer, employment, or other protections.

23. Updates to these Terms

Globalion may revise these Terms and will identify the current version and effective date. Material changes will be communicated through the platform or another appropriate channel.

Updated Terms will be presented for acceptance before further access. Changes apply prospectively unless otherwise lawfully agreed.

A login acknowledgement does not silently amend a separately negotiated commercial agreement where that agreement requires another amendment process.

If you disagree with an update, decline access and contact your Organisation Administrator or Globalion support.

24. Governing law and disputes

Unless a separate applicable agreement provides otherwise, these Terms are governed by the laws of India, subject to mandatory laws that apply to the relevant user or Organisation.

Disputes are subject to the competent courts, tribunals, or authorities having jurisdiction, or an expressly agreed dispute-resolution process.

Nothing prevents lawful complaints to regulators, competent authorities, or other legally protected reporting channels.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.

25. Contact

Platform support: Raise a ticket through the designated support channel.
Account and Organisation permissions: Contact your Organisation Administrator.
General enquiries: support@promptexc.com

Privacy requests must be directed through the contact identified in the Privacy Notice.

Requests to disclose Globalion's non-public information require express written approval from an authorised Globalion representative. Silence or an unanswered request does not constitute approval.
